1. Acceptance of Terms

By accessing or using Threadly ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

Threadly is an email organization and AI summarization tool that connects to your Gmail account to:

• Sync and display your email threads as organized timelines
• Generate AI-powered summaries of email conversations
• Extract and track action items and tasks
• Provide bookmarking and organization features

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Account Registration

To use Threadly, you must:

• Be at least 16 years old
• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are used for illegal or fraudulent activities.

4. Gmail Access and Permissions

By connecting your Gmail account to Threadly, you grant us read-only access to your Gmail inbox. We will:

• Only read your emails to sync threads and generate summaries
• Never send, modify, or delete your emails
• Never share your email content with third parties (except AI providers for processing)
• Store your Gmail app password encrypted in our database

You can revoke Threadly's access to your Gmail account at any time from your Google account settings or from your Threadly account settings.

5. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Service or other accounts
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Use the Service to transmit viruses, malware, or harmful code
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Scrape, data mine, or use automated tools to collect data from the Service
• Share your account credentials with others
• Circumvent any security features or usage restrictions

Violation of this policy may result in immediate termination of your account.

6. Subscription and Payment

6.1 Pricing

Threadly is offered as a subscription service for £12/month. Prices are subject to change with 30 days' notice.

6.2 Billing

• Subscriptions are billed monthly in advance
• Payment is processed securely through Stripe
• You authorize us to charge your payment method on a recurring basis
• Failed payments may result in suspension or termination of service

6.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation will take effect at the end of your current billing period. No refunds are provided for partial months, except as required by law.

6.4 Refund Policy

We offer a 30-day money-back guarantee for new subscribers. If you are not satisfied within the first 30 days, contact us for a full refund. After 30 days, subscriptions are non-refundable.

7. Intellectual Property

The Service, including all content, features, functionality, software, and design, is owned by Threadly and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of your email content. By using the Service, you grant us a limited license to process your emails solely for the purpose of providing the Service.

8. AI-Generated Content

Threadly uses Google's Gemini AI model to generate email summaries and extract action items. While we strive for accuracy:

• AI-generated summaries may contain errors or omissions
• We are not responsible for decisions made based on AI-generated content
• You should verify important information from original emails
• AI processing is performed by third-party providers (Google)

9. Data Backup and Loss

While we implement backup systems to protect your data, we are not responsible for:

• Data loss due to technical failures, server outages, or third-party issues
• Loss of access to your Gmail account
• Corruption or deletion of AI-generated summaries

Your original emails remain in your Gmail account and are not affected by Threadly.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THREADLY AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or goodwill
• Service interruptions or errors
• Inaccurate AI-generated content
• Unauthorized access to or use of your account

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of uninterrupted, error-free, or secure operation
• Warranties regarding accuracy or completeness of AI-generated content

12. Indemnification

You agree to indemnify and hold harmless Threadly, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your email content

13. Termination

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment
• Abusive behavior toward our staff or other users

Upon termination, your access to the Service will be immediately revoked, and your data will be deleted within 30 days.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the Service shall be resolved through:

• Good faith negotiation: Contact us to resolve disputes amicably
• Mediation: If negotiation fails, disputes shall be referred to mediation
• Courts: If mediation fails, disputes shall be resolved in the courts of England and Wales

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Threadly regarding the Service and supersede all prior agreements.
